1. Introduction and Agreement

Welcome to No Noise Official ("we," "us," "our"). These Terms and Conditions ("Terms") govern your access to and use of our website located at nonoiseofficial.in (the "Site"), including any content, functionality, and services offered on or through the Site, primarily the sale of clothing and related accessories ("Products").

By accessing, Browse, or using the Site, including placing an order for Products, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (incorporated herein by reference). If you do not agree to these Terms or the Privacy Policy, you must not access or use the Site.  

These Terms constitute a legally binding agreement between you ("User," "you," "your") and No Noise Official.

2. Use of the Website

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Site. Prohibited behavior includes harassing or causing distress or inconvenience to any other user, transmitting obscene or offensive content, or disrupting the normal flow of dialogue within the Site.  

You must not misuse our Site by knowingly introducing viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful. You must not attempt to gain unauthorized access to our Site, the server on which our Site is stored, or any server, computer, or database connected to our Site.  

3. Intellectual Property Rights

Unless otherwise indicated, the Site and all content and materials on it, including, without limitation, the No Noise Official logo, and all designs, text, graphics, pictures, information, data, software, sound files, other files, and the selection and arrangement thereof (collectively, "Site Content") are the proprietary property of No Noise Official or our licensors and are protected by Indian and international copyright, trademark, and other intellectual property laws.  

You are granted a limited, non-sublicensable license to access and use the Site and Site Content for personal, informational, and shopping purposes only. Such license is subject to these Terms and does not permit the use of any data mining, robots, scraping, or similar data gathering or extraction methods.  

4. Products and Services

We offer clothing and related accessories for sale on the Site. We make every effort to display as accurately as possible the colors, features, specifications, and details of the Products available on the Site. However, we do not guarantee that the colors, features, specifications, and details will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colors and details of the Products.  

All Products are subject to availability, and we cannot guarantee that items will be in stock. We reserve the right to discontinue any Products at any time for any reason. Prices for all Products are subject to change without notice.  

5. Orders, Payment, and Cancellation

By placing an order through our Site, you warrant that you are legally capable of entering into binding contracts and that the information you provide is true, accurate, current, and complete.  

All orders are subject to acceptance by us. We will confirm acceptance by sending you an email confirming the shipment of your order. A contract between us will only be formed when we send you this shipping confirmation.

We reserve the right to refuse or cancel any order for any reason, including but not limited to: product availability, errors in the description or price of the product, error in your order, or if we suspect fraud or an unauthorized or illegal transaction.  

Payment must be made at the time of order. We use third-party payment processors (e.g., Razorpay, PayU, etc.) to handle transactions. Your use of their services is subject to their terms and conditions. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site.  

6. Shipping and Delivery

Products will be shipped to the address you provide during the order process. Please refer to our separate Shipping Policy for details on shipping methods, costs, and estimated delivery times. Delivery times are estimates only and cannot be guaranteed. Risk of loss and title for items purchased pass to you upon our delivery to the carrier.

The Site may contain links to websites or resources operated by third parties. These links are provided for your convenience only. The Site and the Products offered are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement, to the fullest extent permissible pursuant to applicable law. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.  

10. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall No Noise Official, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Site; (ii) any conduct or content of any third party on the Site; (iii) any content obtained from the Site; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.  

11. Indemnification

You agree to defend, indemnify, and hold harmless No Noise Official and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Site, or b) a breach of these Terms.  

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordanceance with the laws of India, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the competent courts located in Ahmedabad, Gujarat, India.  

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide notice on the Site prior to the changes taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after any revisions become effective, you agree to be bound by the revised terms.
